Services Agreement

1. Parties

This agreement regulates the contractual relationship between you, the user of the service, and us, Luca Labs AS. Luca Labs AS has its offices at Erling Skjalgssons gate 18, 0267 Oslo, Norway, and is registered as org.nr. 918 098 372. This agreement may refer to Luca Labs as “supplier”, “service provider”, “we”, “us”.

2. Service

Luca Labs develops and provides products and services intended to facilitate your handling of travel expenses. We provide products and services through a web interface and/or through mobile apps.

3. Service fees and payment

You can test our service for free. If you choose to sign an agreement with us and use the full functionality of our software, you shall pay a service fee we agree upon. Luca Labs shall invoice the customer monthly, in advance, at the beginning of the month. Invoiced fees shall reflect the number of users the customer has registered in Luca Labs’ service at the beginning of the month. Invoice due date shall be 30 days from invoice date.

4. Service term and termination

The customer shall be allowed to cancel the service at any time. Luca Labs will stop invoicing the customer immediately, but will not refund already invoiced fees. Luca Labs shall be allowed to cancel the service at any time, with 30 days written notice to customer.

Supplier and customer agree that Luca Labs’ Terms and Conditions and Privacy Policy shall become a part of this agreement.

1. Parties

This agreement regulates your use of products and services provided by Luca Labs AS (“Luca Labs”, “we”, “us”). You can find our full contact details at www.lucalabs.io. You are a natural person, employee, or authorized representative of an employer, or authorized representative or employee of an accounting services provider (“you”). This agreement also applies to any person you give access to our products and services.

2. The service

Luca Labs develops and provides products and services intended to facilitate your handling of travel expenses. We provide products and services through a web interface and/or through mobile apps.

3. Acceptance of terms and conditions

By using our products and services, you accept this agreement. We reserve the right to terminate your access to our products and services in case you violate this agreement. We reserve the right to change this agreement in the future, and we promise to inform you of any major changes to this agreement.

4. Beta

Our products and services are under development. Currently, we provide our products and services as a beta testing program. During this beta testing period, we provide our products and services on a best effort basis, and the following limitations apply:
  • We do not guarantee that our products and services always work as intended.
  • We do not guarantee full availability or reliability of our products and services.
  • We do not guarantee full data safety and security.
  • We reserve the right to change or cancel our products and services. As a paying customer, we will send you advance notice in due time.
For the time of the beta testing period, these limitations supersede any provisions laid out below. You should assume that our products and services are in beta testing until we notify you otherwise in writing.

5. Your use of our products and services

Our goal is to help you simplify your work day, by eliminating or reducing menial tasks, such as manually punching data from receipts. However, you are fully responsible for how you use our products and services. You agree to use our products and services for the intended purpose only. You agree to use our products and services in good faith towards your employer, employees, accountant, customers, and relevant authorities. You agree not to use our products and services for illegal purposes, to spread hate speech, obscene, libelous, malicious, or threatening content, or any content the products and services are not designed for. Also,
  • You need to make sure that pictures you upload to our products and services are in good quality, and that you keep the original receipt or invoice until a good quality picture has been uploaded to our servers.
  • If you delete a picture of a receipt or any other data from our products and services, we may delete it from our systems.
  • You are responsible for checking, correcting, and amending data we have extracted from receipts or calculated or provided in any other way.
  • You are responsible for providing accurate and complete data in our products and services, for example regarding the travel purpose you state towards your employer.

6. Your data and privacy

We may transmit, store, process, aggregate, analyze, and share data you choose to provide us with. We do so primarily in order to provide our products and services, but also for other purposes. We outline important details about how we treat your data and your privacy in our Privacy Policy.

7. Security

We strive for and work hard to keep your account and data safe. We use industry standard encryption. We keep backups of your data. We work with reputable third party suppliers to provide our service, such as Google and Amazon Web Services (AWS). While we work hard to keep your account and data safe, we also acknowledge that history has shown that there is no 100% safety and security in IT systems.

8. Availability and service interruptions

Our goal is to have our products and services always available, 24/7/365. However, from time to time, we will need to use short maintenance periods to update our products and services. Also, we rely on external partners to provide our products and services. We choose reputable external partners, such as Google and Amazon Web Services (AWS), but we cannot guarantee 100% availability.

9. Liability

Our products and services are complex software solutions. You are aware that such solutions can have errors from time to time, and you agree that Luca Labs is not liable for any loss or damage resulting from such errors. We shall not be liable for losses or damages due to circumstances beyond our direct control, such as service interruptions at our suppliers, or force majeure. Our liability shall in any case be limited to the amount paid by you for the products or services in the preceding 12 months period.

10. Disputes and claims

Both parties to this agreement agree to try to solve disputes and claims through amicable negotiations. Any conflicts not resolved by amicable negotiations shall be settled in Oslo Tingrett, a court based in Oslo, Norway. Any conflict proceedings shall remain confidential. This agreement shall be governed by Norwegian law.

2. We work with your data

We may transmit, collect, store, process, aggregate, analyze, and share data you choose to provide us with, within the limitations set out below.

  • Email address
  • Password used to login to our products and services
  • Name
  • Employer
  • Images of receipts/invoices, which may include metadata (such as time taken)
  • Extracted data from receipts
  • Any other data you enter into our systems, such as explanations/comments to receipts and travel expense reports

4. Data sharing with external parties

We do not share your data with external parties, except as laid out in this policy.

5. How we use your data

We use your data primarily to provide the products and services you choose to use. We also use your data for the following purposes:
  • Monitoring our products and services
  • Providing support
  • Improving our products and services
  • Promoting products and services, based on aggregate, non-identifiable data
  • Providing high level, aggregated, statistical, non-identifiable data to third parties
  • Compliance with law

6. Third parties suppliers

We use reputable third party suppliers, which may have access to your data. For example, we use
  • Google and Amazon Web Services (AWS) for data storage
  • Google Mail for sending you email notifications
  • Google Analytics for tracking usage
  • Tripletex for exporting Travel Expense Reports and receipts/invoices

7. Data on your devices

Our products and services may store your data on devices you use, such as your mobile phone, tablet, or personal computer. We do not have full control over your devices and can therefore not take responsibility for data safety and security on your devices.

8. Account security

You are responsible for using a secure password to log into our products and services. We strongly recommend to use a password which you do not use for any other services. You are responsible for keeping your password safe, and you agree to not share it with other persons. You agree not to give away or store your login credentials to third party apps.

9. Cancellation

In case you choose to cancel your account with us, we will delete your data within 30 days, except if mandated otherwise by Norwegian law.
